MOUNTAIN VIEW, CA and LIBERTYVILLE, IL at AUGUST 15, 2011, Google Inc. (NASDAQ: GOOG) together with Motorola Mobility Holdings, Inc. (NYSE: MMI) now revealed that they've put into a definitive deal to which Google will likely invest in Motorola Mobility for $40.00 in each share in cash, or perhaps a full of about $12.5 billion, a premium for 63% in to the final price of Motorola Mobility stocks on Friday, August 12, 2011. The deal was initially all approved by the boards of company directors of both organizations.

The investment of Motorola Mobility, an obsessive Android partner, will certainly enable Google to supercharge the Android mobile phone environment and often will boost competition in mobile computing. Motorola Mobility will remain a licensee of Android and Android will continue to be open. Google will run Motorola Mobility as a standalone business.

Together, we're going to create incredible user experiences in which supercharge whole Android os environment in the benefit for customers, partners and developers. I expect to be welcoming Motorolans to the group of Googlers"

Sanjay Jha, CEO of Motorola Mobility, said, "This exchange gives important advantage for Motorola Mobility's shareholders and provides convincing new business opportunities for workers, buyers, and partners all over the world. We now have revealed a productive partnership along with Google to succeed the Android os platform, now with this combination we will be able to perform more to innovate and supply wonderful mobility solutions over our mobile phones and home-based businesses."

Andy Rubin, Senior V . P . of Mobile at Google, mentioned, "We expect to have that this combination will insure us to kick new ground in the Android environment. Nevertheless, our vision for Google android is unaffected and Google stays strongly dedicated to Android operating system for being an open platform as well as a vibrant open source neighbourhood. We are will begin to do business with all of our valued Android partners to improve and deliver useful Android-powered devices."

The exchange is susceptible to customary closing conditions, for example the receipt of regulatory approvals in the states, the European Union along with jurisdictions, and the agreement of Motorola Mobility's shareholders. The exchange is predicted to shut in the end of 2011 or early 2012.
